1. Acceptance of Terms

By accessing, browsing, or using the Be Unforgettable platform located at beunforgettable.me (the "Platform"), including all content, courses, assessments, tools, methodologies, & associated services (collectively, the "Services"), you acknowledge that you have read, understood, & agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must immediately cease all use of the Platform & Services.

These Terms constitute a legally binding agreement between you ("User", "you", "your") & The Foundry LLC, a company organized under the laws of the State of Arizona, United States ("Company", "we", "us", "our").

2. Proprietary Content & Intellectual Property

All content on this Platform is proprietary & protected by copyright, trademark, & other intellectual property laws. This includes, without limitation:

• The Be Unforgettable name, brand, logo, & all associated marks
• The Human Edge Index™ assessment methodology, scoring frameworks, & profile archetypes
• The Unforgettable Leader System™, the 20-Pillar curriculum, & the Five Signals model
• All course curriculum, modules, lesson content, scripts, exercises, & instructional materials
• The Situation Room / Pressure Simulator technology & scenarios
• All proprietary frameworks, models, matrices, & taxonomies
• Blog posts, whitepapers, field guides, & all written materials
• Video content, audio narrations, & multimedia assets
• Software code, algorithms, user interface designs, & system architecture
• The Transformation Ladder, Relational Capital Tracker, & all gamification systems

3. Restrictions on Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access & use the Platform & Services solely for your personal or internal business development. You expressly agree that you will NOT:

• Copy, reproduce, distribute, publish, display, or transmit any content from this Platform in any form or by any means
• Create derivative works, adaptations, translations, or modifications based on our content, methodology, or frameworks
• Reverse-engineer, decompile, or attempt to extract the underlying logic of our assessment tools, scoring algorithms, or AI-driven features
• Use our content to develop, market, or deliver competing training programs, courses, workshops, or coaching services
• Incorporate our frameworks, terminology, or methodology into your own intellectual property, presentations, or commercial offerings
• Share login credentials, provide access to unauthorised users, or circumvent access controls
• Record, screenshot, or capture course content, simulation sessions, or assessment results for redistribution
• Scrape, crawl, or use automated means to extract data or content from the Platform
• Remove, alter, or obscure any copyright notices, trademark symbols, or proprietary legends
• Sub-license, resell, or commercially exploit any aspect of the Services without our prior written consent

4. Corporate & Enterprise Use

Organizations accessing our Services under a corporate license agree to the following additional terms:

• Access is limited to the number of seats purchased. Sharing credentials beyond the licensed user count is a material breach.
• All materials provided during facilitated workshops, on-site sessions, or corporate programs remain the exclusive property of The Foundry LLC.
• Corporate clients may not adapt, rebrand, or integrate our methodology or content into their own internal training programs without a separate written licensing agreement.
• Confidential information shared during coaching, assessments, or simulations must not be disclosed to third parties.
• Any facilitator guides, scripts, or preparation materials provided are for the exclusive use of the licensed facilitator & may not be reproduced.

5. User Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these Terms without prior notice or refund.

6. User-Generated Content

Any content you submit through the Platform (journal entries, assessment responses, chat messages, reviews, testimonials) remains your property. However, by submitting content, you grant us a non-exclusive, royalty-free, perpetual license to use anonymised & aggregated data for research, product improvement, & marketing purposes. We will never publicly attribute your personal data without your explicit written consent.

7. Payment & Refund Policy

Fees for individual & corporate access are as listed on the Platform at the time of purchase. All payments are processed securely through our third-party payment provider. Refunds are available within 14 days of purchase if you have not completed more than 20% of the course content. Corporate program fees, including facilitator travel & accommodation, are non-refundable once confirmed.

8. Disclaimers

The Platform & Services are provided "as is" & "as available" without warranties of any kind, whether express or implied. While we strive to provide accurate, actionable content, we do not guarantee specific outcomes, career advancement, or business results from completing our program. Our content is educational in nature & does not constitute professional advice in psychology, therapy, or any regulated field.

9. Limitation of Liability

To the maximum extent permitted by applicable law, The Foundry LLC, its directors, employees, & affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or Services. Our total aggregate liability shall not exceed the amount you paid for access to the Services in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, & hold harmless The Foundry LLC & its officers, directors, employees, & agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Services, or your infringement of any intellectual property or other rights of any third party.

11. Enforcement & Remedies

Any breach of sections 2, 3, or 4 of these Terms will be considered a material breach. We reserve the right to:

• Immediately terminate your access without refund
• Pursue injunctive relief to prevent further infringement
• Seek damages, including but not limited to lost revenue & legal costs
• Report intellectual property theft to relevant authorities

12. Governing Law & Jurisdiction

These Terms shall be governed by & construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state & federal courts located in Maricopa County, Arizona.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or by email. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force & effect.
